The numbers: Your first invoice is $2,755 ($555 first month + $2,200 one-time setup fee). After that, it’s $555/month. You’re committing to at least 3 months ($3,865 minimum spend). After 3 months, you can cancel anytime - email us or use the Stripe billing portal before your next billing date. The setup fee is non-refundable, and monthly fees aren’t refunded for partial months.
What you get: Access to TinyFirm’s private GitHub repository, a personalized onboarding session led by Ryan (who built the tool), and ongoing updates. When you cancel, your repo access is revoked but everything on your local machine stays yours.

Effective Date: May 16, 2026
This Purchasing and Subscription Agreement (“Agreement”) is entered into as of the Effective Date set forth above by and between:
Provider (Tartarian Technologies LLC): Tartarian Technologies LLC, doing business as TinyFirm (“Provider,” “we,” “us”), a technology services company; and
Customer: The individual or entity identified in the signature block below (“Customer,” “Subscriber,” “you”).
Provider and Customer are each referred to herein as a “Party” and collectively as the “Parties.”
RECITALS
WHEREAS, Provider operates TinyFirm, a subscription platform that provides access to a proprietary AI development team system delivered via a private GitHub repository, including personalized onboarding, ongoing updates, and related support services; and
WHEREAS, Customer desires to subscribe to TinyFirm’s services as set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. Parties and Recitals
1.1. This Agreement governs commercial terms. Supplemented by the Terms of Service and Privacy Policy.
1.2. In conflicts, ToS controls for use restrictions and IP; this Agreement controls for billing and subscription mechanics.
2. Subscription Tiers and Pricing
2.1. Setup Fee: $2,200 USD (one-time, non-refundable). Monthly Subscription: $555 USD.
2.2. First Invoice: $2,755 USD.
2.3. Minimum financial commitment: $3,865 USD ($2,200 + 3 months at $555/month).
2.4. All prices in USD. International customers responsible for conversion fees.
2.5. Prices exclude applicable taxes. Stripe handles tax calculation.
3. What the Subscription Includes
3.1. Monthly fee includes: System Repository access, ongoing updates, TinyFirm Dashboard, update documentation.
3.2. Setup fee includes: personalized onboarding session led by Ryan (who built the tool), initial repository access, workspace bootstrap.
3.3. Not included: Custom development, Cursor IDE subscription (separate third-party dependency), AI model API costs, hosting, Docker Desktop, GitHub account.
3.4. Third-Party Dependency: TinyFirm requires the Cursor IDE (by Anysphere, Inc.). Cursor pricing, availability, and features are outside TinyFirm’s control.
4. Minimum Commitment Period
4.1. Three consecutive months from first invoice.
4.2. Binding: Customer agrees to maintain subscription for full period.
4.3. Early cancellation: remaining fees immediately due.
4.4. Exception: Material breach by TinyFirm (uncured within 15 days of notice).
5. Billing and Auto-Renewal
5.1. Billed monthly on subscription anniversary date.

THIS IS AN AUTOMATICALLY RENEWING MONTHLY SUBSCRIPTION. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW EACH MONTH ON THE ANNIVERSARY OF YOUR SUBSCRIPTION DATE. AT THE TIME OF EACH RENEWAL, YOU WILL BE CHARGED THE THEN-CURRENT MONTHLY RATE ($555/MONTH AS OF THE EFFECTIVE DATE) UNLESS YOU CANCEL BEFORE YOUR NEXT BILLING DATE.
TO CANCEL, YOU MAY EMAIL CONTACT@TINYFIRM.DEV OR USE THE STRIPE CUSTOMER PORTAL (https://billing.stripe.com/p/login/8x228rbcofEvdAodE78g000). THE CANCELLATION PROCESS IS AT LEAST AS EASY AS THE PROCESS USED TO SUBSCRIBE.
BY SIGNING THIS AGREEMENT, YOU AFFIRMATIVELY CONSENT TO THIS AUTOMATIC RENEWAL PROVISION AND THE RECURRING CHARGES DESCRIBED HEREIN.
5.2. Auto-Renewal: Your subscription renews monthly at the then-current rate ($555/month) until you cancel.
5.3. After minimum commitment: month-to-month, no further commitment.
5.4. No annual contracts.
5.5. All payments via Stripe.
5.6. Receipts and invoices via the Stripe Customer Portal.
5.7. Failed payments: 7-day Payment Grace Period. Retries at days 1, 3, 7, 14. Day 7: access may be suspended. Day 30: cancelled. Reactivation resumes the monthly subscription; the one-time setup fee is not charged again.
5.8. Rate Changes: 60 days’ written notice before any price change takes effect. Material increases (>15%) allow penalty-free cancellation even during minimum commitment.
6. Refund Policy
Refund Policy - Please Read Carefully
SETUP FEE ($2,200): THE ONE-TIME SETUP FEE IS NON-REFUNDABLE UNDER ALL CIRCUMSTANCES. THE ONBOARDING SESSION IS A PROFESSIONAL SERVICE; THE FEE IS EARNED UPON PAYMENT.
MONTHLY SUBSCRIPTION ($555/MONTH): MONTHLY SUBSCRIPTION FEES ARE NON-REFUNDABLE FOR THE CURRENT BILLING PERIOD. NO PRO-RATED REFUNDS. NO PARTIAL-MONTH REFUNDS. NO EXCEPTIONS.
MINIMUM COMMITMENT FEES: IF YOU CANCEL DURING THE THREE-MONTH MINIMUM COMMITMENT PERIOD, ALL REMAINING MONTHLY FEES BECOME IMMEDIATELY DUE AND PAYABLE. THESE CHARGES ARE NON-REFUNDABLE.
6.1. Setup fee: non-refundable. If cancelled before the personalized onboarding session, TinyFirm will reschedule within 60 days.
6.2. Monthly subscription: non-refundable for current period.
6.3. Minimum commitment fees: non-refundable.
6.4. Service discontinuation: pro-rated refund.
6.5. Disputed charges: contact contact@tinyfirm.dev within 30 days.
6.6. Rate change refund: If TinyFirm fails to provide rate change notice per §5.8, Customer may cancel within 30 days and receive a refund of the difference.
7. Cancellation
7.1. How to Cancel. You may cancel by:
- Sending email to contact@tinyfirm.dev with the subject line “Subscription Cancellation”; or
- Using the online Stripe Customer Portal.
7.2. Cancel before your next billing date to avoid the next charge.
7.3. The cancellation process is at least as easy as subscribing. No phone calls, postal mail, or in-person appearances required.
7.4. Post-cancellation: GitHub access revoked, no further updates, Dashboard continues locally, all Customer Files remain yours.
7.5. Customer remains bound by license restrictions (ToS Section 4.3).
7.6. Reactivation: Resuming a cancelled subscription does not trigger a new setup fee. The setup fee is a one-time charge paid at initial signup, regardless of any gap in service.
8. Update Delivery
8.1. Delivered via GitHub main branch.
8.2. Customer responsible for fetching, merging, testing updates.
8.3. Categories: Infrastructure (safe to overwrite), Protocol (may need merge), Customer (never included in updates).
8.4. No guaranteed cadence.
8.5. Breaking changes: labeled, migration instructions, 14 days’ notice, email support.
8.6. Repository availability subject to GitHub’s uptime.
9. Discovery Calls
Free, approximately 45 minutes with our founders (Ryan and Kevin). Mutual fit assessment, no commitment.
10. Intellectual Property
10.1. TinyFirm owns System Files (protocols, hooks, dashboard, docs, tools, Ace definition).
10.2. Customer owns Customer Files (source code, custom agents, memory, project plans, reference materials, secrets).
10.3. The dividing line: if TinyFirm ships it, it’s TinyFirm IP. If the Customer created it, it’s Customer IP.
10.4. Post-cancellation: Customer keeps all Customer Files. Limited use license for System Files on local machine. No redistribution.
11. Additional Services
11.1. Consulting: $400 USD/hour, 1-hour minimum, via Stripe.
11.2. TinyFirm Build (Project Work): separate SOW. Subscribers get priority scheduling.
12. Representations and Warranties
12.1. Customer represents authority to enter agreement, legal compliance, accurate information, and proper credential management.
12.2. TinyFirm represents right to grant licenses, non-infringement of IP, timely personalized onboarding session (led by Ryan), and ongoing updates.
13. Limitation of Liability
13.1. Liability cap: total fees paid in preceding 12 months.
13.2. No liability for indirect, incidental, special, consequential, exemplary, or punitive damages.
13.3. TinyFirm is not responsible for outcomes of Customer’s projects.
13.4. TinyFirm is not liable for third-party services (Cursor IDE, GitHub, AI model providers).
14. Term and Survival
14.1. Begins on first payment, continues until terminated.
14.2. Sections 6, 10, 13, and 16, and license restrictions survive termination.
15. Amendments
15.1. Price changes: 60 days’ notice. Other terms: 30 days’ notice.
15.2. Material price increases (>15%): Customer may cancel during minimum commitment without penalty.
15.3. Continued subscription after notice period constitutes acceptance.
16. General Provisions
16.1. Severability: invalid provisions modified to minimum extent necessary.
16.2. Waiver: must be in writing. No implied waivers.
16.3. Assignment: Customer may not assign without consent. TinyFirm may assign in connection with merger/acquisition upon 30 days’ notice.
16.4. Notices: via email. TinyFirm: contact@tinyfirm.dev. Customer: email on file.
16.5. Force Majeure: neither Party liable for failures beyond reasonable control.
16.6. Headings are for convenience only.
16.7. Entire Agreement: this Agreement + ToS + Privacy Policy constitute the full agreement.
17. Governing Law
17.1. Texas law. Disputes per ToS Section 14.

19. Client Acknowledgments: Individual Initials Required

By placing your initials next to each statement below, you acknowledge that you have read, understand, and agree to the specified terms. Each acknowledgment must be individually initialed.
Auto-Renewal. I understand that this is an automatically renewing monthly subscription. My subscription will renew each month on the anniversary of my subscription date, and I will be charged the then-current monthly rate unless I cancel before my next billing date.
Cancellation Policy. I understand that I must cancel before my next billing date to avoid being charged for the next month. Cancellation is available by email (contact@tinyfirm.dev) or via the Stripe Customer Portal as described in Section 7. During the Minimum Commitment Period, early cancellation does not relieve my payment obligation for the remaining committed months.
Refund Policy. I understand that the setup fee ($2,200) is non-refundable under all circumstances, and that monthly subscription fees ($555/month) are non-refundable for the current billing period.
Setup Fee. I understand that the one-time setup fee of $2,200 covers personalized onboarding and is non-refundable even if I cancel before the session is conducted.
Minimum Commitment. I understand that I am committing to a minimum of three (3) months of subscription service. My minimum financial commitment is $3,865 ($2,200 setup fee + $1,665 in monthly fees).
Third-Party Dependency. I acknowledge that TinyFirm’s system requires a Cursor IDE subscription (a separate third-party product by Anysphere, Inc.) to function.
Intellectual Property. I understand the IP ownership division described in Section 10: System Files belong to TinyFirm; Customer Files belong to me. I may not redistribute, resell, or share System Files.
