Plain English Summary
What this document covers: This is the agreement between TinyFirm and you (the customer) when you subscribe to TinyFirm’s AI development team service. It explains what you’re getting, what you can and cannot do with it, who owns what, how billing works, and what happens if things go wrong.
The short version: You’re subscribing to a private GitHub repository containing TinyFirm’s proprietary AI team system. You get a license to USE this system for your own projects. You do NOT get the right to copy, redistribute, resell, or share the system files with others. The system files belong to TinyFirm. Your project files belong to you.
Billing: $555/month, 3-month minimum commitment, then month-to-month. There’s a one-time $2,200 setup fee that covers your personalized onboarding session with the founder. If you cancel, your access to the GitHub repo is revoked, but all your project files stay on your local machine. No refunds for the setup fee or unused portions of the current billing period.

1. Definitions
1.1. “TinyFirm” refers to TinyFirm, operated by Tartarian Tech Solutions LLC, the provider of the Service.
1.2. “Service” refers to the TinyFirm AI development team subscription, including access to the System Repository, the Activation Session, ongoing updates, and related support.
1.3. “System Repository” refers to the private GitHub repository containing TinyFirm’s proprietary System Files, delivered to the Customer upon subscription activation.
1.4. “System Files” refers to files owned by TinyFirm that constitute the proprietary system, including but not limited to: .cursor/rules/ directory, .cursor/hooks/ directory, portal/ directory, docs/ directory, tools/ directory, AGENTS.md structural template and Ace definition, .gitignore and root configuration files.
1.5. “Customer Files” refers to files owned by the Customer, including: memory/ directory, .cursor/agents/ directory, project-plan.md, file-drop/ directory, .env files, all source code written by or generated for the Customer.
1.6. “Customer” or “You” refers to the individual or entity subscribing to the Service.
1.7. “Activation Session” refers to the initial personalized onboarding session with TinyFirm’s founder.
1.8. “Subscription Period” refers to the duration of the Customer’s active subscription.
2. Acceptance of Terms
2.1. By subscribing to the Service, paying the Setup Fee, or accessing the System Repository, you agree to be bound by these Terms of Service.
2.2. TinyFirm reserves the right to update these Terms with 30 days’ written notice.
3. Service Description
3.1. TinyFirm provides a subscription-based AI development team system delivered as plaintext files via a private GitHub repository.
3.2. The Service includes: (a) Access to the System Repository, (b) One Activation Session, (c) Ongoing updates, (d) TinyFirm Dashboard.
3.3. The Service does NOT include: (a) Custom software development, (b) Ongoing consulting beyond the Activation Session, (c) Hosting or infrastructure, (d) Third-party subscriptions including Cursor IDE (currently Cursor Pro+ at $60/month, required separately), (e) Legal, financial, or professional advice.
3.4. The Service operates entirely on the Customer’s local machine.
4. License Grant
4.1. Grant. TinyFirm grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable license to use the System Files solely for the Customer’s own internal business purposes.
4.2. Scope. The license permits: (a) Use within Cursor IDE, (b) Creating derivative Customer Files, (c) Modifying System Files for own use, (d) Creating multiple project workspaces.
4.3. Restrictions. The Customer shall NOT: (a) Copy or distribute System Files, (b) Share repository access, (c) Redistribute, resell, or sublicense, (d) Create competing products, (e) Remove proprietary notices, (f) Use for third-party services without a separate license, (g) Share GitHub repository access, (h) Reverse engineer proprietary methodologies.
4.4. The subscription covers a single workspace. Additional team members require additional subscriptions.
4.5. License restrictions survive termination indefinitely.
5. Intellectual Property Ownership
5.1. TinyFirm IP. TinyFirm retains all rights to System Files.
5.2. Customer IP. The Customer retains all rights to Customer Files, including source code, custom agents, memory, project plans, and reference materials.
5.3. Modifications to System Files: underlying System Files remain TinyFirm IP. Customer modifications constitute Customer Files to the extent they represent original expression.
5.4. No implied licenses beyond Section 4.
5.5. Feedback may be used by TinyFirm without obligation.
6. Fees and Payment
6.1. Setup Fee: $2,200 USD, one-time, non-refundable.
6.2. Monthly Subscription: $555 USD per month via Stripe.
6.3. First Invoice: $2,755 USD.
6.4. Three-month minimum commitment.
6.5. Month-to-month after minimum commitment, cancel anytime.
6.6. Consulting: $400 USD/hour, 1-hour minimum.
6.7. Payments processed through Stripe.
6.8. Late payment: 14-day grace period before suspension.
6.9. Price changes with 60 days’ notice.
6.10. No annual contracts.
6.11. Discovery calls are free.
7. Refund Policy
7.1. Setup fee is non-refundable.
7.2. Monthly fees are non-refundable for current period.
7.3. Minimum commitment fees are due regardless of cancellation.
7.4. Consulting fees are non-refundable once conducted.
8. Cancellation and Termination
8.1. Cancel after minimum commitment via written notice to contact@tinyfirm.dev.
8.2. Upon cancellation: repo access revoked, updates end, Customer Files remain yours, System Files subject to Section 4.3 restrictions.
8.3. Cancellation during minimum commitment: remaining fees immediately due.
8.4. TinyFirm may terminate for: material breach, non-payment, illegal use, security threats.
8.5. TinyFirm may discontinue with 90 days’ notice and pro-rated refund.
9. Update Delivery
9.1. Updates delivered via GitHub repository.
9.2. No guaranteed update cadence.
9.3. Customer responsible for merging updates.
9.4. No guarantee of backward compatibility.
10. Warranties and Disclaimers
10.1. TinyFirm warrants the Service will perform substantially as described.
10.2. EXCEPT AS PROVIDED, THE SERVICE IS PROVIDED “AS IS.” TINYFIRM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
10.3. No guarantee of specific business outcomes.
10.4. TinyFirm is not responsible for third-party dependency changes.
10.5. AI-generated output may contain errors. Customer is responsible for review and validation.
11. Limitation of Liability
11.1. TINYFIRM’S TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11.2. TINYFIRM IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11.3. Exceptions for willful misconduct, breach of confidentiality, and indemnification obligations.
12. Indemnification
12.1. Customer indemnifies TinyFirm against claims from breach, use of AI output, third-party violations, and unauthorized redistribution.
12.2. TinyFirm indemnifies Customer against IP infringement claims regarding System Files.
13. Confidentiality
13.1. Mutual confidentiality obligation.
13.2. System Files are TinyFirm confidential information.
13.3. Customer Files are Customer confidential information.
13.4. Standard exclusions for public information, prior knowledge, independent development, and legal requirements.
14. Dispute Resolution
14.1. 30-day informal resolution attempt first.
14.2. Binding arbitration in Delaware, USA.
14.3. Injunctive relief available for IP and confidentiality breaches.
14.4. Class action waiver.
14.5. Governed by Delaware law.
14.6. Prevailing party recovers attorneys’ fees.
15. General Provisions
15.1. Entire agreement with Privacy Policy and Purchasing Agreement.
15.2. Severability.
15.3. Non-waiver.
15.4. No assignment without consent. TinyFirm may assign in M&A.
15.5. Notices to contact@tinyfirm.dev.
15.6. Force majeure.
15.7. Independent contractors.
15.8. Sections 4.3, 4.5, 5, 7, 10, 11, 12, 13, 14, and 15 survive termination.
